Official Rules — Wade in the Water: Part II Giveaway

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR DONATION WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

1. Sponsor. The Wade in the Water: Part II Giveaway (the "Giveaway") is sponsored and administered by Black-Boards Inc 501 (c)(3), a California nonprofit public benefit corporation exempt under Section 501(c)(3) of the Internal Revenue Code ("Sponsor"), 5486 Valley Ridge Ave Los Angeles, CA 90043, as fiscal sponsor of the Wade in the Water documentary project. David Mesfin Art LLC ("Producer") is the promotional partner. ECO by Ry, Selah Beach Cabins, Black-Boards Inc 501 (c)(3), Black Surfers Santa Cruz, Paddle for Peace, Laru Beya Collective, and Palm Springs Surf Club are prize providers ("Prize Providers"). Sponsor, Producer, and Prize Providers are collectively the "Giveaway Parties."

2. Eligibility. Open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. Directors, officers, employees, contractors, and volunteers of the Giveaway Parties, the cast and crew of Wade in the Water: Part II, and the immediate family members (spouse, parent, child, sibling, and their spouses) and household members of each are not eligible. 

3. Giveaway Period. Entries will be accepted from 9:00 AM Pacific Time on January 5, 2027 until 11:59 PM Pacific Time on February 27, 2027 (the "Giveaway Period"). Sponsor's server is the official clock.

4. How to Enter. (a) Free Entry: Visit [Zeffy campaign URL], click the "No donation necessary to enter" link, and complete the free entry form. Limit one (1) free entry per person per email address per day. Each free entry equals one (1) entry. (b) Entry with a Donation: Make an optional donation to Sponsor through the campaign page and receive the number of entries stated for the selected amount. Donations are not required to enter or win. Free and donation entries have identical odds of winning and are eligible for every prize. Entries generated by script, macro, or automated means are void. Sponsor's records are final.

5. Prizes and Approximate Retail Value ("ARV"). Grand Prize: one (1) ECO by Ry 9'6" custom upcycled surfboard signed by cast and crew (ARV $2,500). Second Prize: one (1) two-night stay for two at Selah Beach Cabins, Kokrobite, Ghana, accommodation only (ARV $300). Third Prize: one (1) one-hour surf lesson for one person with a participating community surf organization of winner's choice (ARV $125). Fourth Prize: one (1) one-hour surf session for one person at Palm Springs Surf Club (ARV $200). Fifth Prizes: Private Wade in the Water Part 2 digital documentary screening for one day and Q&A session with director. Total ARV: $500. Prizes are subject to the Prize Terms in Section 8B, which are incorporated into these Official Rules. Prizes are non-transferable except as stated in the Prize Terms, may not be redeemed for cash, and may not be substituted by the winner. Sponsor may substitute a prize of equal or greater value if a prize becomes unavailable. Odds of winning depend on the total number of eligible entries received. Maximum of one (1) prize per person or household.

6. Winner Selection and Notification. Winners will be selected by random drawing from all eligible entries on or about March 2, 2027, conducted by Sponsor using a random number generator in the presence of at least two witnesses. Prizes will be drawn in order from Grand Prize to the last prize; an entry that wins is removed from subsequent drawings. Potential winners will be notified by email and telephone within three (3) business days and must respond within seven (7) days of the first notification attempt. Potential winners of a prize valued at $600 or more must complete and return an Affidavit of Eligibility, Liability and Publicity Release (where lawful) and IRS Form W-9 within ten (10) days of receipt. Failure to respond, return required documents, comply with these Official Rules, or pass eligibility verification will result in forfeiture and selection of an alternate winner. Winners' first name, last initial, and state will be published at wadeinthewaterproject.com/giveaway after verification.

7. Taxes, Shipping and Costs. All federal, state, and local taxes on prizes are the sole responsibility of each winner. Sponsor will issue IRS Form W-2G (or other form required by law) to any winner whose prize value is $600 or more and may require applicable withholding before prize delivery. Except as expressly stated in the Prize Terms, all costs not specified (including travel, lodging, meals, visas, insurance, equipment, and transfers) are the winner's responsibility. Entries made with a donation are not tax-deductible as charitable contributions.

8. Release and Limitation of Liability. By entering, each entrant agrees to release, discharge, indemnify and hold harmless Black-Boards Inc 501 (c)(3), David Mesfin Art LLC, each Prize Provider, Zeffy, and each of their respective parents, affiliates, directors, officers, members, employees, volunteers, agents, successors and assigns (the "Released Parties") from and against any and all claims, demands, losses, damages, liabilities, costs and expenses of any kind, including without limitation personal injury, death, property damage, and economic loss, arising directly or indirectly from participation in the Giveaway or the acceptance, possession, use, misuse, or inability to use any prize or any travel or activity related to a prize, to the fullest extent permitted by law. Each winner acknowledges that surfing, ocean activities, wave-pool activities, and international travel involve inherent risks, including serious injury and death, and voluntarily assumes those risks. Prizes are provided "as is" without warranty of any kind, express or implied, including merchantability or fitness for a particular purpose. In no event will the Released Parties be liable for indirect, incidental, consequential, or punitive damages, and the Released Parties' aggregate liability to any entrant will not exceed the ARV of the prize at issue. The Released Parties are not responsible for lost, late, incomplete, misdirected, or garbled entries; technical, network, or email failures; printing or typographical errors; or any condition caused by events beyond Sponsor's control. Nothing in these Official Rules excludes liability that cannot lawfully be excluded, including liability for fraud or willful misconduct. Winners may be required to sign Prize Providers' separate participation waivers as a condition of receiving an activity-based prize.

9. Publicity. Except where prohibited, acceptance of a prize constitutes permission for Sponsor and Producer to use the winner's name, likeness, voice, city and state, and statements about the Giveaway for promotional purposes in any media, without further compensation or notice.

10. General Conditions. Sponsor reserves the right to cancel, suspend, or modify the Giveaway if fraud, technical failure, or any other factor beyond Sponsor's reasonable control impairs its integrity, and to award prizes from eligible entries received before such action. Sponsor may disqualify any person who tampers with the entry process or acts in violation of these Official Rules. Sponsor's decisions are final and binding in all matters relating to the Giveaway.

11. Disputes. These Official Rules are governed by the laws of the State of California without regard to conflict-of-law principles. Any dispute will be resolved individually, without resort to any form of class action, exclusively in the state or federal courts located in Los Angeles County, California. Entrants waive any right to claim punitive, incidental, or consequential damages or attorneys' fees, except where prohibited.

12. Privacy. Information submitted is collected by Sponsor through Zeffy and will be used to administer the Giveaway and, if the entrant opts in, to send news about Wade in the Water and Black-Boards Inc 501 (c)(3). See Sponsor's privacy policy at [URL] and Zeffy's at zeffy.com/privacy.

13. Social Media Disclaimer. This Giveaway is in no way sponsored, endorsed, administered by, or associated with Meta Platforms, Inc., Instagram, Facebook, TikTok, YouTube, Bluesky, or any other social media platform. Each entrant completely releases each such platform from any liability in connection with this Giveaway. Sharing or engaging with Giveaway content on social media is welcome but is not required to enter and does not affect odds of winning.

14. Winners List and Rules Request. For a winners list or copy of these Official Rules, email [giveaway@wadeinthewaterproject.com] with "Winners" or "Rules" in the subject line within 60 days after the drawing.

8B. Prize Terms and Conditions

Grand Prize — ECO by Ry Wade in the Water Project Surfboard. The prize is one (1) 9'6" custom upcycled surfboard handmade by ECO by Ry and signed by members of the Wade in the Water: Part II cast and crew. The board is a one-of-a-kind item; signatures, materials, colors, and finish may vary from promotional images, and the board is provided as is. Winner may collect the board in person from David Mesfin Art LLC, California, or, for winners residing in the continental United States, David Mesfin Art LLC will arrange ground shipping at no cost to the winner to a single street address [confirm with David Mesfin Art LLC; alternatively "Sponsor will cover domestic shipping"]. Winners residing outside the United States of America are solely responsible for all international shipping, crating, insurance, customs duties, import taxes, and brokerage fees, which must be paid in full before the board ships; Sponsor may require payment within 30 days of notification. The Giveaway Parties are not responsible for loss or damage in transit once the board leaves David Mesfin Art LLC's possession; winner should insure the shipment. Surfing is an inherently dangerous activity; use of the board is at the winner's sole risk. No cash equivalent.

Second Prize — Two-Night Stay for Two at Selah Beach Cabins, Kokrobite Beach, Ghana. The prize consists solely of two (2) consecutive nights of accommodation for a maximum of two (2) occupants in one ocean-view cabin at Selah Beach Cabins, Langma Road, Kokrobite, Ghana, including any amenities Selah Beach Cabins ordinarily includes with the room rate (such as breakfast). The prize does not include airfare, ground or airport transportation, visas or entry fees, travel or medical insurance, vaccinations, meals other than those included with the room, spa services, excursions, gratuities, incidentals, or any other expense; all are the winner's sole responsibility. The stay must be completed by December 31, 2027 and is available only on dates designated by Selah Beach Cabins, which will be provided to the winner in writing; blackout dates and limited availability apply, and the stay is subject to confirmation by Selah Beach Cabins. Winner must book directly with Selah Beach Cabins at least [45] days in advance. If the winner cannot travel within the available dates, the winner may transfer the stay once, in writing, to one (1) named adult designee, who will be subject to these terms; the stay has no cash value and may not be sold. Winner and guest are responsible for obtaining valid passports, visas, and complying with all entry requirements of Ghana and transit countries, and for reviewing U.S. State Department travel guidance. The Giveaway Parties are not responsible for travel disruption, closures, weather, political events, health advisories, or any act or omission of Selah Beach Cabins, airlines, or third-party providers. Unused nights are forfeited.

Third Prize — One-Hour Community Surf Lesson. The prize is one (1) private surf lesson of approximately one (1) hour for one (1) person, provided by the winner's choice of Black-Boards Inc 501 (c)(3) (Los Angeles, CA), Black Surfers Santa Cruz (Santa Cruz, CA), Paddle for Peace (San Diego, CA), Salted Roots (Oakland, CA), Palmar Collective (Portland, MA), or Laru Beya Collective (Rockaway, NY), at a beach designated by that organization. Within 14 days of notification the winner must select one organization; Sponsor will then provide the contact information for that organization's lesson coordinator. The winner is solely responsible for contacting the organization and scheduling a mutually agreed date and time, which must be completed by [December 31, 2027]. Lessons are subject to surf, weather, and safety conditions as determined solely by the organization, which may reschedule. If the winner fails to appear at the agreed date and time, the prize is forfeited with no substitute or cash value. Travel to and from the lesson site and any parking fees are the winner's responsibility. The winner must sign the organization's participation waiver, must be able to swim, and participates at their own risk. The organizations are independent nonprofits; the Giveaway Parties are not responsible for the conduct of the lesson.

Fourth Prize — One-Hour Surf Session at Palm Springs Surf Club. The prize is one (1) surf session of approximately one (1) hour for one (1) person at Palm Springs Surf Club, Palm Spring, CA, on a date and time mutually agreed with the resort, subject to the resort's availability, session calendar, skill-level requirements, and rules. Sponsor will provide the resort's booking contact; the winner is solely responsible for scheduling directly with resort staff and completing the session by [December 31, 2027]. The prize covers the session only; board rental, wetsuit, instruction, travel, lodging, food, and any upgrades are not included unless the resort elects to provide them. If the winner fails to appear for the confirmed session, the prize is forfeited. Winner must sign the resort's waiver and comply with all safety instructions. Wave-pool surfing is an inherently risky activity undertaken at the winner's own risk; the Giveaway Parties are not responsible for closures, mechanical issues, or any act or omission of the resort.
